Section 5. – Corporate Governance and Management

Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On June 3, 2020, the Board of Directors (“Board”) of Kemper Corporation ("Company") approved amendments to the Company’s Amended and Restated Bylaws (“Bylaws”), which became effective upon approval. As permitted by Section 110 of the Delaware General Corporation Law, the amendments add a new Article X implementing emergency bylaw provisions that will be operative during any emergency (as defined therein), as a result of which a quorum of the Board or a Board committee cannot readily be convened for action . The Bylaws were also modified to renumber former Article X as Article XI, and to incorporate the amendments into the Bylaws’ Table of Contents and Table of Definitions. The emergency bylaw provisions address notices of meetings, quorum requirements and related actions, modification of the provisions, contingency planning, and liability for acting in accordance with the provisions.
