Kelso Group Holdings Plc ("Kelso' or the "Company")

Transaction in Own Shares

The Company announces that, on 31 October 2023, it purchased 1,200,000 ordinary shares of one pence each in the capital of the Company ("the Repurchased Shares") at a price of 2.0 pence per Ordinary Share (the "Repurchase").

The Repurchase equates to approximately 0.38 per cent of the issued Ordinary Shares and was undertaken in accordance with the terms of the general authority to make market purchases of Ordinary Shares granted to the Company by its shareholders at its Annual General Meeting on 24 May 2023.  The Repurchase was executed on the London Stock Exchange through the Company's broker, Zeus Capital Limited.

This figure represents the total voting rights in the Company and may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.

About Kelso

Kelso was established in 2022 to identify, engage and unlock trapped value in the UK stock market. Kelso's strategy is to invest in situations where there is an anomaly between the intrinsic value and prospects of a company and its stock market valuation. Kelso will, in particular, look for situations where it believes the sum of the parts of a business is greater than the current value.
