Appointment of Fiona Hele as Chair of the Board

Kelsian Group Limited (ASX:KLS) (‘ Kelsian ’) today advises that it has appointed Independent NonExecutive Director Fiona Hele to the role of Chair of the Board with effect from 1 July 2024. Fiona joined the Board in September 2016 and was appointed Deputy Chair in August 2022. Fiona has been Chair of the Company’s Audit, Risk and Sustainability Committee since joining in 2016, and is also currently a member of the People, Culture & Remuneration Committee.

The appointment of Fiona as Chair follows the announcement in September 2023 that Kelsian’s existing Chair of the Board, Jeff Ellison, would retire during his current term on completion of an orderly succession plan. With Fiona’s appointment to the role of Board Chair, Jeff will retire and step down from the Kelsian Board on 1 July 2024.

Fiona is an Independent Non-Executive Director and an experienced Audit & Risk Chair with a strong commercial and finance background, deep experience as a board director in both private and public organisations including in ASX listed companies. Together with her significant corporate knowledge of Kelsian gained during the past eight years, Fiona is well placed to Chair the Kelsian Board.

About Fiona Hele, B.Com, FCA, FAICD

An experienced Non-Executive Director and Audit & Risk Chair, Fiona is a Chartered Accountant with over 30 years’ experience specialising in risk management, corporate governance, strategy, mergers and acquisitions, and capital management.

Fiona’s commercial experience was gained through her executive career working with several large corporations and professional services firms both nationally and internationally. Fiona has extensive Board experience across public, private, Government and not-for profit sectors, in a broad range of industries including infrastructure, tourism, transport, education and utilities.

Fiona is also a Director of Argo Global Listed Infrastructure Limited (ASX:ALI) and a director appointed by the Australian Government to the board of CEA Technologies Pty Limited. Past Directorships include the Adelaide Venue Management Corporation, South Australian Water Corporation, South Australian Tourism Commission, Celsus Securitisation Pty Ltd, Prime Q, and Adelaide Fringe Festival.

Fiona is a Fellow of the Institute of Chartered Accountants, Australia and New Zealand, and a Fellow of the Australian Institute of Company Directors.

Prior to the Chair transition, the Board will review Board Committees and any revisions to memberships will be announced at the appropriate time.
