CHANGE OF DIRECTORS AND CHANGE IN COMPOSITION OF AUDIT COMMITTEE
Appointment of Independent Non-Executive Director
The board (the "Board") of directors (the "Directors") of Keep Inc. (the "Company", together with its subsidiaries and consolidated affiliated entities, the "Group"), is pleased to announce that Mr. Li Yifan ("Mr. Li") has been appointed as an independent non-executive Director with effect from the conclusion of the annual general meeting of the Company held on June 4, 2026 (the "AGM").
The biographical details of Mr. Li are set out below:
Mr. Li Yifan (李一帆), aged 40, is currently an executive director and chairman of the board of Hesai Group (stock code: HKEX: 2525; NASDAQ: HSAI). He is a co-founder of Hesai Group and has been serving as the chief executive officer since its inception in October 2014. Mr. Li has served as the director of Sharpa Group, an AI robotics company co-founded by him, since January 2026. Prior to co-founding Hesai Group, Mr. Li worked at Western Digital Corporation (stock code: NASDAQ: WDC) in Silicon Valley from August 2013 to October 2014. Mr. Li received his bachelor's degree in engineering, majoring in measurement and control technology and instrumentation, from Tsinghua University in July 2009. Mr. Li also received his master's degree in mechanical engineering and his Ph.D. degree in mechanical engineering from University of Illinois at Urbana-Champaign in August 2009 and August 2013, respectively.
Mr. Li has entered into an appointment contract with the Company for an initial term of three years commencing from June 4, 2026, subject to re-election at the next annual general meeting of the Company in accordance with the articles of association of the Company. Mr. Li will be entitled to receive Director's fee of RMB400,000 per annum, which was determined with reference to the level of remuneration of the Company, the time commitment and responsibilities of independent non-executive director of the Company, and Mr. Li's qualifications and experience.
Mr. Li has confirmed that (i) he meets the requirement of independence as regards each of the factors referred to in Rule 3.13(1) to (8) of the Rules Governing the Listing of Securities (the "Listing Rules") on The Stock Exchange of Hong Kong Limited (the "Stock Exchange"); (ii) he has no past or present financial or other interests in the business of the Group or any connection with any core connected person of the Company; and (iii) there are no other factors that may affect his independence.
Save as disclosed in this announcement, as of the date of this announcement, to the best knowledge and belief of the Board and having made all reasonable enquiries, Mr. Li (i) has not held any directorship in other public companies the securities of which are listed on any securities market in Hong Kong or overseas in the last three years; (ii) does not have any interest in the securities of the Company (within the meaning of Part XV of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong)); (iii) does not hold any other positions in the Group; and (iv) does not have any relationship with any other Directors, senior management, substantial shareholders or controlling shareholders (as each respectively defined in the Listing Rules) of the Company.
Save as disclosed in this announcement, there are no other matters which need to be brought to the attention of the shareholders of the Company regarding the appointment of Mr. Li or any other information that need to be disclosed pursuant to Rules 13.51(2)(h) to 13.51(2)(v) of the Listing Rules.
The Board would like to express its warmest welcome to Mr. Li.
Retirement of Executive Director
Mr. Peng Wei (“Mr. Peng”) retired as an executive Director upon conclusion of the AGM due to personal work arrangements.
Mr. Peng has confirmed that he has no disagreement with the Board and there are no matters in relation to his retirement that need to be brought to the attention of the shareholders of the Company and the Stock Exchange.
The Board would like to express its sincere gratitude and appreciation to Mr. Peng for his contributions to the Company during his term of office.
Change in Composition of Audit Committee
The Board further announces that Mr. Li has been appointed as a member of the audit committee of the Board (the “Audit Committee”) and Mr. Shan Yigang ceased to be a member of the Audit Committee, with effect from the conclusion of the AGM.
Following the above change, the Audit Committee will comprise Ms. Ge Xin as chairperson, and Mr. Wang Haining and Mr. Li as members.
