Sub: Intimation of completion of disinvestment in subsidiary company Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosures Requirements) Regulations, 2015

We refer to our letter dated November 3, 2018, wherein we had informed that the Company has entered into a Share Purchase Agreement to sell its entire stake in its subsidiary namely 'KEC Bikaner Sikar Transmission Private Limited' to 'Adani Transmission Limited', subject to regulatory and other approvals. Further vide our letter dated December 3 I, 20 18 and January 31, 2019 we had informed about extension of Long Stop Date to January 31, 2019 and February 15, 2019 respectively.

We are pleased to inform that the Company has completed the sale of its entire stake in KEC Bikaner Sikar Transmission Private Limited today on February 08, 2019, after obtaining the requisite regulatory and other approvals. Consequently KEC Bikaner Sikar Transmission Private Limited ceased to be the subsidiary of the Company effective today.

The details as required under SEBT (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Circular No. CTR/CFD/CMD/4/2015 dated 9th September, 2015, have already been submitted with our intimation dated November 3, 2018.
