2021 Annual Stockholders’ Meeting Notice

Kearny Financial Corp.’s Annual Meeting of Stockholders will be held on Thursday, October 28, 2021 at 10:00 a.m. Eastern Time, virtually via the Internet at https://meetnow.global/MQND9ZC. To access the virtual meeting, you must have the 15-digit number that is printed on the shaded bar located on the reverse side of this form.

Proposals to be voted on at the meeting are listed below along with the Board of Directors’ recommendations.

The Board of Directors recommends a vote “FOR” Proposals 1, 2, 3 and 4 and for “1 YEAR” on Proposal 5.

1. The election of the four nominees listed, each for a three-year term.

2. Approval of the Kearny Financial Corp. 2021 Equity Incentive Plan.

3. Ratification of the appointment of Crowe LLP as the Company’s independent auditor for the fiscal year ending June 30, 2022.

4. Approval of an advisory, non-binding resolution to approve our executive compensation as described in the Proxy Statement.

5. Approval of an advisory, non-binding proposal, with respect to the frequency that stockholders will vote on our executive compensation.
