Director Subscription

KCR today announces that, following its announcement at 7 a.m. today, Dominic White and Timothy James have conditionally agreed to subscribe for Ordinary Shares in the Company as part of the Subscription, details of which are included in the table below:

The subscription by Dominic White and Timothy James is conditional upon, inter alia, the passing of the Resolutions at the General Meeting and Admission.

Related Party Transactions

Participation by the Directors (as per the table above) in the Subscription is considered a related party transaction for the purposes of Rule 13 of the AIM Rules for Companies. The Directors (other than Dominic White and Timothy James) consider, having consulted with Arden Partners, the Company's nominated adviser, that the terms of the participation for Dominic White and Timothy James in the Subscription are fair and reasonable in so far as its Shareholders are concerned.
