KBC Ancora supports capital increase by KBC Group
KBC Ancora has pledged its full support for the capital increase by KBC Group. The increase will enable KBC Group to accelerate the repayment of a substantial portion of the core capital instruments and make it one of the best capitalised European banks. KBC Ancora will not itself participate in this capital increase, and its participating interest in KBC Group will accordingly reduce to 19.7%.
KBC Ancora supports the capital increase by KBC Group, but has decided not to participate in it itself in view of its present debt position. Its participating interest will therefore remain at 82,216,380 KBC Group shares. KBC Ancora's debt position will also not change as a result of this transaction.
The issue of 58,835,294 new KBC Group shares will increase the total number of KBC Group shares in issue by 16%, thereby reducing the participating interest of KBC Ancora in KBC Group from its present 22.97% to 19.72%.
KBC Ancora has also committed additional shares to the shareholder agreement between Cera, KBC Ancora, MRBB and the family shareholders, so that this agreement will continue to unite more than 30% of the total number of KBC Group shares.
KBC Ancora is a listed company which together with Cera, MRBB and the Other Permanent Shareholders ensures the shareholder stability and further development of the KBC group. As core shareholders of KBC Group, these parties have signed a shareholder agreement to this effect.
