Kauno Energija - Notification on material event

Regarding decision on acquisition of the shares of UAB Petrašiūnų Katilinė

The Management Board of AB Kauno Energija made a decision on June 16, 2016 to acquire 100 per cent of the shares of UAB Petrašiūnų Katilinė from UAB E Energija and to authorise Mr. Rimantas Bakas, General Manager of AB Kauno Energija to sign shares purchase agreement and other related documents. The Management Board assigned AB Kauno Energija administration to initiate a submission of shares purchase agreement to the Extraordinary General Meeting of Shareholders for approval. The transaction will be considered accomplished and will become valid after signing the agreement, approval of the Extraordinary General Meeting of Shareholders, after permission from The Competition Council of the Republic of Lithuania for concentration is received and after the conclusion that AB Kauno Energija meets National Security interests of Commission of Evaluation of Conformity of Potential Participants to National Security Interests.
