NOTICE OF EXTRA ORDINARY GENERAL MEETING NOTICE
Notice is hereby given that the Extra-Ordinary General Meeting of the Members of Kanani Industries Limited will be held on Monday 15, January, 2024 at 11:30 A.M. (IST) through Video Conferencing (“VC”) / Other Audio-Visual Means (“OAVM”) to transact the following business. The venue of the meeting shall be deemed to be the registered office of the company.
SPECIAL BUSINESSES:
1. To Increase the Authorise Share Capital of the Company and amend the Capital clause of Memorandum of Association:
To consider, and if thought fit, to pass, with or without modification(s), the following resolution as Ordinary Resolution:
" RESOLVED THAT pursuant to the provisions of Section 13, 62 and other applicable provisions, if any, of the Companies Act, 2013, (including any statutory modification(s) and reenactment(s) thereof for the time being in force) and the rules framed thereunder, consent of the Members be and is hereby accorded to increase the Authorized Share Capital of the Company from the present INR 15,00,00,000/- (Indian Rupees Fifteen Crores only) consisting of 15,00,00,000 (Fifteen Crores) Equity Shares of INR 1/- (Indian Rupee One) each to INR 20,00,00,000/- (Indian Rupees Twenty Crores only) consisting of 20,00,00,000 (Twenty Crores) Equity Shares of INR 1/- (Indian Rupee One) each."
“ FURTHER RESOLVED THAT the Memorandum of Association of the Company be and is hereby altered by substituting the existing Clause V thereof by the following new Clause V as under:
V. The Authorised Share Capital of the Company is INR 20,00,00,000/- (Indian Rupees Twenty Crores only) consisting of 20,00,00,000 (Twenty Crores) Equity Shares of INR 1/(Indian Rupee One) each.
FURTHER RESOLVED THAT any director or company secretary or KMP of the Company be and is hereby severally authorised to do all such act(s), deed(s) and things including all forms, documents filing with Registrar of Companies as may be necessary and incidental to give effect to the aforesaid Resolution."
2. To approve the issue of Bonus Shares
To consider and if thought fit to pass, with or without modification(s), the following resolution(s) as Special Resolution:
“RESOLVED THAT pursuant to Section 63 and other applicable provisions, if any, of the Companies Act, 2013, read with the Rules made thereunder, Article 116 of the Articles of Association of the Company, provisions of Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018, the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, including any statutory amendment(s) or modification(s) thereto or enactment(s) or re-enactment(s) thereof for the time being in force, to the extent notified and in effect and subject to such approvals, consents, sanctions, permissions and provisions of other applicable laws, regulations, rules, directions, guidelines including those issued by Reserve Bank of India and such other regulatory authority(ies) concerned, from time to time, to the extent applicable and on such terms, conditions, stipulations and modifications as may be prescribed, imposed or suggested while granting such approvals, and subject to the approval of the members for the resolution as set out at item no. 2 of the Notice, the consent and approval of the members of the company be and is hereby accorded for a sum not exceeding INR 9,89,34,000 (Indian Rupees Nine Crores Eighteen Lakhs Thirty four Thousand Eight Hundred and Eighty only)out of the Free Reserve Account of the Company, for the Financial year ended March 31, 2023, be capitalized and accordingly the Board of Directors of the Company (hereinafter referred to as “the Board” which term shall be deemed to include any Committee or authorized person(s) which the Board has constituted or appointed to exercise its powers, as the case may be, including the powers, conferred by this Resolution) be and is hereby authorized to appropriate the said sum for distribution to and
amongst the members of the Company, whose names appear in the Register of Members maintained by the Company and the List of Beneficial Owners as received from the National Securities Depository Limited and Central Depository Services (India) Limited on such date (“Record Date”) as may be fixed in this regard by the Board/Committee in accordance with law and to apply the said sum in paying up in full a maximum of 9,89,34,000 (Nine Crores Eighteen Lakhs and Thirty Four Thousand) Equity Shares (“the Bonus Shares”) of the Company of Re. 1/- each (Rupee One only) at par, to be allotted, distributed and credited as fully paid-up to and amongst the members in the proportion of 1:1, One (1) bonus shares for every One (1) existing fully paid up equity shares held by them respectively as on the Record Date and that the Bonus Shares so distributed, for all purposes, be treated as an increase in the nominal amount in the Capital of the Company by each members, and not as an income.”
RESOLVED FURTHER THAT the issue and allotment of the said bonus shares to the extent that they relate to Non-Resident Indians (NRIs), Persons of Indian Origin / Overseas Corporate Bodies and other foreign investors of the company, will be subject to the approval of the Reserve Bank of India and any other regulatory authority, as the case may be.
RESOLVED FURTHER THAT the Bonus Shares so allotted shall always be subject to the terms and conditions contained in the Memorandum and Articles of Association of the Company and shall rank pari passu in all respect with the existing fully paid-up Equity Shares of the Company.
RESOLVED FURTHER THAT no letter of allotment shall be issued but in the case of members who hold shares in dematerialized mode, the Bonus Shares shall be credited to the beneficiary accounts of the members maintained with Depository Participants and in case of members who hold shares in physical mode, the share certificate(s) in respect of the Bonus Shares shall be dispatched within the prescribed time limit.
RESOLVED FURTHER THAT the Board be and is hereby authorized to take necessary steps for listing of the Bonus Shares on the Stock Exchanges where the Equity Shares of the Company are listed, in terms of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and other applicable Rules and Regulations.
RESOLVED FURTHER THAT the Board be and is hereby authorized to do all such acts, deeds, matters and things and to give such directions as may be necessary or expedient and to settle any question or difficulty that may arise in relation thereto, decide the exact number of Bonus Shares to be issued based on the Paid up capital of the Company as obtaining on the Record Date and to delegate all such powers granted hereunder to a Committee of Directors and / or any other officer(s) of the Company, as may deem fit or desirable and their decision shall be final and binding.
3. Appointment of Statutory Auditors to fill casual vacancy:
To consider, and if thought fit, to pass, with or without modification(s), the following resolution as Ordinary Resolution:
“RESOLVED THAT pursuant to section 139, 141 and 142 and other applicable provisions, if any, of the Companies Act, 2013 read with Companies (Audit and Auditors) Rules, 2014 (including any statutory modification(s) or re-enactment(s) thereof for the time being in force), consent of the Members of the Company be and is hereby accorded for appointment of M/s. JMMK & Co, Chartered Accountants (Firm Registration Number – 120459W) be and is hereby appointed as Statutory Auditors of the Company with effect from December 09, 2023 to fill casual vacancy caused by the resignation of M/s. SMS & Co., Chartered Accountants (Firm Registration No. 116388W) to hold office till the conclusion of 41[st] Annual General Meeting to be held in year 2024 at such remuneration as shall be fixed by the Board of Directors of the Company or any Committee thereof.”
“RESOLVED FURTHER THAT the Board of directors including any of its committee thereof, be and is hereby empowered and authorized to take such step, in relation to the above and to do all such acts, deed, matters and things as may be necessary, proper, expedient or incidental for giving effect to this resolution.”

NOTES:
- Considering the massive outbreak and subsequent reappearance of Covid-19 pandemic, social distancing is the norm to be followed, the Ministry of Corporate Affairs (“MCA”) has vide its circular dated May 5, 2020 read together with circulars dated April 8, 2020, April 13, 2020 and clarification circular No. 02/2021 dated January 13, 2021, 19/2021 dated December 08, 2021, 20/2021 dated December 14, 2021, 02/2022 dated May 05, 2022, 10/2022 dated December 28, 2022 and 09/2023 dated September 25, 2023 (collectively referred to as “MCA Circulars”) permitted convening the Annual General Meeting/Extra-Ordinary General Meeting (“EGM” /“EGM”) through Video Conferencing (“VC”) or Other Audio Visual Means (“OAVM”), without the physical presence of the members at a common venue. Hence, members can attend and participate in the ensuing EGM through VC/OVAM.
In accordance with the MCA Circulars, provisions of the Companies Act, 2013 (“the Act”) and the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”), the EGM of the Company is being held through VC / OAVM. The deemed venue for the EGM shall be the Registered Office of the Company. Members are requested not to visit Corporate Office/ Registered Office to attend the EGM.

Pursuant to the provisions of the Act, a Member entitled to attend and vote at the EGM is entitled to appoint a proxy to attend and vote on his/her behalf and the proxy need not be a Member of the Company. Since this EGM is being held pursuant to the MCA Circulars through VC / OAVM, physical attendance of Members has been dispensed with. Accordingly, the facility for appointment of proxies by the Members will not be available for the EGM and hence the Attendance Slip and Proxy Form are not annexed to this Notice.

The relative Explanatory Statement pursuant to Section 102 of the Act, setting out material facts concerning the business under Item No. 2 of the Notice, is annexed hereto.
4. Book Closure:
The Register of Members and Share Transfer Books of the Company will remain closed from Monday, January 08, 2024 to Monday, January 15, 2024 (both days inclusive).

As per Regulation 40 of the Listing Regulations, as amended, securities of listed companies can be transferred only in dematerialized form with effect from April 1, 2019, except in case of request received for transmission or transposition of securities. In view of this and to eliminate all risks associated with physical shares and for ease of portfolio management, members holding shares in physical form are requested to consider converting their holdings to dematerialized form. Members can contact the Company or Company’s Registrar and Transfer Agents - M/s. Link Intime India Private Limited for assistance in this regard.

To support the “Green Initiative”, Members who have not registered their email addresses are requested to register the same with the Company’s Registrar and Share Transfer Agent/their Depository Participants, in respect of shares held in physical/electronic mode, respectively.

Members are requested to intimate changes, if any, pertaining to their name, postal address, email address, telephone/ mobile numbers, Permanent Account Number (PAN), mandates, nominations, power of attorney, bank details such as, name of the bank and branch details, bank account number, MICR code, IFSC code, etc., to their Depository Participant in case the shares are held in electronic form and to M/s. Link Intime India Private Limited, in case the shares are held in physical form.

In case of joint holders attending the EGM, the Member whose name appears as the first holder in the order of names as per the Register of Members of the Company will be entitled to vote.

Transfer of Unclaimed/Unpaid amounts to the Investor Education and Protection Fund (IEPF):
Members are requested to note that dividends not encashed or remaining unclaimed for a period of 7 (seven) years from the date of transfer to the Company’s Unpaid Dividend Account, shall be transferred to the Investor Education and Protection Fund (“IEPF”) established by the Central Government. Further, pursuant to the provisions of Section 124 of the Act read with the Investor
Education and Protection Fund Authority (Accounting, Audit, Transfer and Refund) Rules, 2016 (“IEPF Rules”) as amended to date, all shares on which dividend has not been paid or claimed for seven consecutive years or more shall be transferred to IEPF Authority as notified by the Ministry of Corporate Affairs.
The Members/Claimants whose shares, unclaimed dividend, and debenture interest amount have been transferred to IEPF may claim the shares or apply for refund by making an application to IEPF Authority in Form IEPF 5 (available on www.iepf.gov.in). The Member/Claimant can file only one consolidated claim in a Financial Year as per the IEPF Rules. Members are requested to contact the Company’s Registrar and Share Transfer Agent to claim the unclaimed/ unpaid dividends at the following address: M/s. Link Intime India Private Limited.
- Members holding shares in physical form are requested to advise any change of address immediately to the Company’s Registrar and Share Transfer Agent. Members holding shares in electronic form must send the advice about change in address to their respective Depository Participant only and not to the Company or the Company’s Registrar and Share Transfer Agent.
11. Updation of Members’ Details:
The format of the Register of Members prescribed by the Ministry of Corporate Affairs under the Act requires the Company/ Registrar and Share Transfer Agent to record additional details of Members, including their PAN details, email address, bank details for payment of dividend, etc.

Nomination Facility: As per the provisions of Section 72 of the Act and Rule 19(1) of the Companies (Share Capital and Debentures) Rules, 2014, as amended, Members holding shares in physical form may file nomination in the prescribed Form SH-13 with the Company’s Registrar and Share Transfer Agent. In respect of shares held in dematerialized form, the nomination form may be filed with the respective Depository Participant.

GENERAL INSTRUCTIONS:

The Remote E-voting facility will commence from 9.00 AM (IST) on Friday, January 12, 2024 and will end at 5.00 PM (IST) on Sunday, January 14, 2024 .

Voting rights shall be reckoned on the paid-up value of shares registered in the name of the Member / beneficial owner as on the cut off date i.e. Monday, January 08, 2024 .

Mr. Deep Shukla, Practising Company Secretary (FCS No. 5652 CP. No. 5364) has been appointed as the Scrutinizer to scrutinize the remote e-voting and ensure that the voting process at the EGM is conducted in a fair and transparent manner.

The Scrutinizer shall after the conclusion of voting at the EGM, unblock the votes cast through remote e-voting in the presence of at least two witnesses not in the employment of the Company and shall make, not later than forty eight hours of the conclusion of the EGM, a consolidated Scrutinizer’s Report of the total votes cast in favour/against if any, to the Chairperson or a person authorized in writing, who shall countersign the same and declare the result of the voting forthwith.

The results declared along with the Scrutinizer’s Report shall be placed on the website of the Company www.kananiindustries.com and on the website of Linkintime at https://instavote.linkintime.co.in and shall also be communicated to BSE Limited and NSE Limited.

- Instructions for Shareholders/ Members to Speak during the Extra ordinary General Meeting through InstaMeet:

Shareholders who would like to speak during the meeting must register their request 3 days in advance i.e. on or before Friday, January 12, 2024 with the company on the [email protected] created for the general meeting.

Shareholders will get confirmation on first cum first basis depending upon the provision made by the client.

Shareholders will receive “speaking serial number” once they mark attendance for the meeting.

Other shareholder may ask questions to the panellist, via active chat-board during the meeting.

Shareholders are requested to speak only when moderator of the meeting/ management will announce the name and serial number for speaking.

Once the electronic voting is activated by the scrutinizer/ moderator during the meeting, shareholders/ members who have not exercised their vote through the remote e-voting can cast the vote as under:

On the Shareholders VC page, click on the link for e-Voting “Cast your vote”

Enter your 16 digit Demat Account No. / Folio No. and OTP (received on the registered mobile number/ registered email Id) received during registration for InstaMEET and click on 'Submit'.

After successful login, you will see “Resolution Description” and against the same the option “Favour/ Against” for voting.

Cast your vote by selecting appropriate option i.e. “Favour/Against” as desired. Enter the number of shares (which represents no. of votes) as on the cut-off date under ‘Favour/Against'.

After selecting the appropriate option i.e. Favour/Against as desired and you have decided to vote, click on “Save”. A confirmation box will be displayed. If you wish to confirm your vote, click on “Confirm”, else to change your vote, click on “Back” and accordingly modify your vote.

Once you confirm your vote on the resolution, you will not be allowed to modify or change your vote subsequently.
Note: Shareholders/ Members, who will be present in the Extra-ordinary General Meeting through InstaMeet facility and have not casted their vote on the Resolutions through remote e-Voting and are otherwise not barred from doing so, shall be eligible to vote through e-Voting facility during the meeting. Shareholders/ Members who have voted through Remote e-Voting prior to the Extraordinary General Meeting will be eligible to attend/ participate in the Extra-ordinary General Meeting through InstaMeet. However, they will not be eligible to vote again during the meeting.
Shareholders/ Members are encouraged to join the Meeting through Tablets/ Laptops connected through broadband for better experience.
Shareholders/ Members are required to use Internet with a good speed (preferably 2 MBPS download stream) to avoid any disturbance during the meeting.
Please note that Shareholders/ Members connecting from Mobile Devices or Tablets or through Laptops connecting via Mobile Hotspot may experience Audio/Visual loss due to fluctuation in their network. ❖ EXPLANATORY STATEMENT PURSUANT TO SECTION 102 OF THE COMPANIES ACT, 2013;
Item No. 1:-
The Current Authorized Capital of the Company is 15,00,00,000/- (Indian Rupees Fifteen Crores only) consisting of 15,00,00,000 (Fifteen Crores) Equity Shares of INR 1/- (Indian Rupee One) each and the paid up share capital of the Company is INR 9,89,34,000 (Indian Rupees Nine Crores Eighteen Lakhs Thirty four Thousand Eight Hundred and Eighty only). The Company proposes to increase its authorized share capital to INR 20,00,00,000/- (Indian Rupees Twenty Crores only) to facilitate any fund raising in future or Issue of Bonus shares.
The increase in the Authorised Share Capital of the Company will also require consequential amendment in the Clause V of the Memorandum of Association of the Company.
Pursuant to Section 13 and 62 the Companies Act, 2013, alteration of the Capital Clause requires approval of the members of the Company by way of passing an Ordinary Resolution to that effect.
The Directors recommend the Resolution set out in the Notice for the approval of the Members.
No Director, Manager, other key managerial personnel and relatives of the same are concerned or interested in the passing of this Resolution.
Item No. 2:-
The Company’s shares were listed on BSE Limited and NSE Limited. Over the years, the Company has performed significantly both in terms of revenue and profit and has been rewarding its shareholders consistently. The Directors have created free reserves to a considerable extent out of its distributable profits and the balance in reserves and surplus as on March 31, 2023 is INR 34,67,80,951/- (Indian Rupees Thirty Four Crore Sixty Seven Lakh Eighty Thousand Nine Hundred Fifty One only).
With a view to share a part of the Company’s free reserves, its Board of Directors has recommended issue of bonus shares in the ratio of 1:1, i.e. Four (1) Bonus shares for every One (1) shares held by the shareholders, subject to their approval. The issue of bonus shares, by way of capitalizing reserves, is authorized by the Company’s Articles of Association. The paid-up capital as on March 31, 2023 is INR 9,89,34,000 (Indian Rupees Nine Crores Eighteen Lakhs Thirty four Thousand Eight Hundred and Eighty only). An amount of INR 9,89,34,000 (Indian Rupees Nine Crores Eighteen Lakhs Thirty four Thousand Eight Hundred and Eighty only)from the free reserves is required to be capitalized for the issue of bonus shares in the ratio of 1:1. After the bonus issue, the paid-up share capital would increase to INR 19,78,68,000 (Indian Rupees Nineteen Crores Seventy Eight Lakhs and Sixty Eight Thousand only). The proposal for capitalization of the said reserves and issue of bonus shares is now placed for consideration and approval of the members. The Record Date for determining the eligibility of the shareholders to receive the said bonus shares will be fixed by the Board. The Board of Directors recommend for approval of members the capitalization of reserves and issue of bonus shares as proposed.
The Board recommends passing of the resolution as set out in Item No. 02 of this notice as a Special Resolution.
Item No. 3:-
M/s. SMS & Co. , Chartered Accounts (Firm Registration No. 116388W) were appointed as Statutory Auditor of the Company at pursuant to shareholders resolution passed dated September 30, 2021 to hold office till the conclusion of the 43[rd] Annual General Meeting.
M/s. SMS & Co have tendered their resignation vide letter dated November 30, 2023 from the position of Statutory Auditors due to personal reason, resulting into a casual vacancy in the office of Statutory Auditors of the Company as envisaged by Section 139(8) of the Companies Act, 2013. Casual vacancy caused by the resignation of auditor can be filled by the shareholders in General
Meeting within three months from the date of recommendation of the Board of Directors of the Company. The Board of Directors of the Company recommended at its meeting held on December 09, 2023, M/s JMMK & Co., Chartered Accountants (Firm Registration No. 120459W) be appointed as the Statutory Auditors of the Company to fill the casual vacancy caused by the resignation of M/s. SMS & Co.
M/s. M/s JMMK & Co., Chartered Accountants (Firm Registration No. 120459W), have conveyed their consent to be appointed as the Statutory Auditors of the Company along with a confirmation that, their appointment, if made by the members, would be within the limits prescribed under the Companies Act, 2013.
Accordingly, Ordinary Resolution is submitted to the meeting for the consideration and approval of members.
None of the Directors, Key Managerial Persons of their relatives, in any way, concerned or interested in the said resolution.
