KAHOOT! ASA – Mandatory notification of transactions by close associates of primary insiders

Oslo, 9 November 2023

Reference is made to the stock exchange announcement on 9 November 2023 regarding the settlement of the recommended voluntary offer (the "Offer") by Kangaroo BidCo AS (the "Offeror") to acquire all outstanding shares in Kahoot! ASA ("Kahoot!") for a cash consideration of NOK 35.00 per share (the "Offer Price").

Reference is also made to the stock exchange announcement on 7 November 2023 regarding the transfers of shares in Kahoot! by KMAN AS and Glitrafjord AS to a settlement account of Danske Bank in connection with the settlement of the transactions contemplated by the Investment Agreement (as further described in the stock exchange announcement regarding the announcement of the Offer on 14 July 2023).

Pursuant to the Investment Agreement, Glitrafjord AS and KMAN AS, both close associates of primary insider Eilert Hanoa (Kahoot! CEO), have today, as a part of the transactions contemplated by the Investment Agreement, carried out a series of share transfers against issuance of new shares in the Offeror group, as further set out in the attached required notifications.
