("K3" or "the Company")

Director Shareholding

The Board of K3, which provides and supports Enterprise Resource Planning software, hosting and managed services to the supply chain industry, received notification on 7 October that Mr D J Bolton, Chief Executive Officer transferred with immediate effect 104,000 ordinary shares of 25 pence each in the capital of the Company ("Ordinary Shares") to his Self-invested Pension Plan at a price of 225p per Ordinary Share.

Following this transaction, there is no change to Mr Bolton's beneficial interest in the issued share capital of the Company.  Mr Bolton holds 976,936 Ordinary Shares, representing a beneficial interest of 3.08% of the entire issued share capital of the Company.
