EXTRACT OF MINUTES OF THE MEETING OF THE BOARD OF DIRECTORS OF JYOTI LIMITED HELD ON 26TH SEPTEMBER, 2019 AT THE REGISTERD OFFICE OF THE . COMPANY

RECLASSIFICATION REQUEST RECEIVED FROM.PERSONS BELONGING TO PROMOTER GROUP UNDER REGULATION 31A OF SEBI (LISTING OBLIGATIONS AND DISCLOSURE REQUIREMENTS) REGULATIONS, 2015

The Board took note of the request received from Mr. Chirayu Ramanbhai Amin and Mr. Mayank Natubhai Amin belonging to Promoter group of the Company for reclassification from Promoter Category to Public Category vide their letter dated 16 th September, 2019.

While taking the note, the Board found that the letters dated 16 th September, 2019 are not complete with the Provisions made under Regulation 31A of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and the following Undertakings are not given in the letter submitted by Mr. Chirayu Ramanbhai Amin and Mr. Mayank Natubhai Amin.

• i. The undertaking with respect to (vi) and (vii) of clause (b) of sub-regulation (3) of Regulation 31A of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

• ii. Undertaking with respect to sub-regulation (4) of Regulation 31A of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

The Board authorised Mr. Suresh Singha!, Vice President (Legal) & Company Secretary of the Company to intimate Mr. Chirayu Ramanbhai Amin and Mr. Mayank Natubhai Amin to submit above Undertakings and to do further needful in this matter.
