The Company has sent the Annual Report along with Notice convening AGM on Wednesday, 24th August, 2022, 1hrough electronic mode to all the Members whose e-mail IDs are registered with the Company's Registrar & Share Transfer Agents, Mis. MCS Sha'.8 Transfer Agent Ltd./Dep o sit ry Participant (s) in a c cordan with the Circular issued by the Ministry of �te Affairs dated 5th �y, 2022, 13th January, 2021 read with circulars dated 5th May, 2020, 13th April. 2020 and 8th Apnl. 2020 and the Securities and Exchange Board of India circular dated 13th May. 2022, 15th January, 2021 and 12th May. 2020. !h8 Annual �eport along with the Notice convening the AGM is also available on the website of the Company at www.jyoti.com. Notice is hereby given that pursuant to Section 91 of the Companies Act, 2013, the Register of Members and Share Transfer Books of the Company will remain closed from Thursday. 15th September, 2022 to Thursday, 22nd September 2022 (both days inclusive) for the pulJlOSe of 78th AGM of the Company. Pursuant t� the provisions of Section 108 of the Act and Rule 20 of the Companies (Management and A�minis�tion) Rules 2014 as amended and Regulation 44 of the SEBI (LODA) Regulations, 2015, members are provided with the facilify to cast their vote electronically through a-voting services provided by the CDSL on all resolutions as set f�rth in the 78th AGM Notice. The voting rights of the members shall be in proportion to the equity shares held by them in the paid-up equity share capital of the Company as on 15th September, 2022 ('cut-off date"). . The remote e-voting period commences on Monday, 19th September, 2022 at 9.00 a.m. (1ST) and will �nd on Wednesday, 21st September, 2022 at 5.00 p.m. (1ST). During this period, the Members may cast their vote electronically. The remote a-voting module shall be disabled by CDSL thereafter. Those Members. who shall be present in the AGM through VC/OAVM lacility and had not cast their votes on the Resolutions through remote a-voting and are othelWise not barred from doing so, shall be eligible to vote through a-voting system during the AGM. The Members who have cast their votes by remote a-voting prior to the AGM may also attend /participate in the AGM through VC/OAVM but shall not be entitled to cast their votes again. The manner of remote a-voting and voting at the AGM by members holding shares in dematerialized mode. physical mode and for members who have not registered their email addresses is provided in the Notice of the AGM.
