JUST ANNOUNCES RESULT OF AUDIT TENDER

Just Group Plc ("Just") today announces its intention to appoint PricewaterhouseCoopers LLP ("PwC") as its external auditor for the financial year ending 31 December 2020.

The timing of this change enables auditor continuity during our preparation and implementation of IFRS 17, currently scheduled for 2022, and will ensure compliance with the rules regarding auditor rotation.  The tender process has taken into consideration FRC guidance on best practice.

A resolution to approve the appointment of PwC will be put to shareholders at the Company's AGM in 2020. PwC will observe the 2019 audit, to ensure an efficient transition.

Just acknowledges the important contribution KPMG has made as the Company's auditor over its many years of service.

Additional Information 

KPMG LLP has been the group's external auditor since the 2006 year end. The audit was last tendered in 2016 following the group's merger with Partnership Assurance, and KPMG reappointed. At that time it was noted that the audit would be reviewed in due course.  We approached a range of firms including the other 'big four' firms and certain mid-tier firms.  The Audit Committee was fully involved in the tender process, which was led by the Committee Chair.
