Redemption of £300,000,000 Fixed Rate Reset Perpetual Restricted Tier 1 Contingent Convertible Notes (the "Notes") issued by Just Group plc ("Just Group")

(ISIN: XS1934875219)

On 13 September 2021, Just Group announced the successful completion of a tender offer to all holders of the Notes (the "Noteholders"), pursuant to which £295,170,000 in aggregate nominal amount of the Notes (the "Tendered Notes") were validly tendered for purchase by Noteholders.

The Tendered Notes were repurchased and cancelled by the Just Group on 17 September 2021. As at the date hereof, £4,830,000 in aggregate nominal amount of the Notes remain outstanding (the "Outstanding Notes").

Just Group has today given notice that, pursuant to Condition 8(j) (Clean-up redemption at the option of the Issuer) of the Terms and Conditions dated 21 March 2019 relating to the Notes, on 22 October 2021, it shall repurchase and cancel the Outstanding Notes.
