• Sub: Disclosure under Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended from time to time (“Listing Regulations”) read with SEBI circular dated September 09, 2015, bearing reference no. CIR/ CFD/ CMD/ 4/ 2015 (“Disclosure Circular”).

The board of directors of Jupiter Wagons Limited (“ JWL ”) at its meeting held today (i.e., 15 October 2022), has taken on record the letter of intent dated 14 October 2022, received in the matter of Stone India Limited by the Resolution Professional with respect to the “Declaration of the Successful Resolution Applicant and Intimation of Approval of the Plan & Issue of the Letter of Intent” (“ LoI ”)”.

1. This is in with reference to the corporate insolvency resolution process of Stone India Limited (“ Stone India ”), pursuant to the advertisement dated 23 January 2022 published in the Financial Express and Aajkal, the Interim Resolution Professional of Stone India (“ IRP ”) invited prospective resolution applicants (fulfilling the minimum qualification criteria set out therein) to submit a resolution plan for Stone India.

2. As per the provisions of the Insolvency and Bankruptcy Code 2016 (“ Code ”), the Resolution Professional (“ RP ”) placed the resolution plans before the Committee of Creditors (“ COC ”) of Stone India on 14 September 2022 for independent evaluation and consideration.

3. In terms of Section 30 of the Code read along with Regulation 39 of the Insolvency and Bankruptcy Board of India (Insolvency Resolution Process for Corporate Persons) Regulations, 2016, the plan submitted by the resolution applicants were presented before the COC for its voting at the COC meeting dated 14 September 2022. The voting for the same concluded on 13 October 2022.

4. As per the voting results, the resolution plan submitted by JWL has been approved by the COC unanimously, Hence JWL has been identified as the ‘Successful Resolution Applicant’.

5. The Board of Directors of JWL duly took on record the LoI issued by the RP and approved undertaking necessary steps for acceptance of the LoI in terms of the LoI.
