We wish to bring to your kind attention that the Notice for convening Postal Ballot / E-Voting of the Company, scheduled to be held from 01[st] August 2022 up to 30[th] August 2022 was dispatched / circulated through email to all the shareholders of the company on 30[th] July 2022 for E-Voting on the agenda items as set out in the Postal Ballot Notice. Further, a Notice regarding the Postal Ballot was also published in Financial Express (English) and Raj Express (Hindi) in the edition dated 31[st] July 2022. (“ Newspaper Notice ”).

We enclose herewith a Corrigendum to the Notice of the Postal Ballot / E-Voting of the company in relation to the items proposed in the Notice for your reference and record purposes.

This Corrigendum to the Notice convening Postal Ballot shall form integral part of the Postal Ballot Notice and Newspaper Notice. Accordingly, all the concerned members, stock exchanges, depositories, registrar and transfer agents are requested to take note of revision.

FOR INFORMATION OF THE SHAREHOLDERS OF THE COMPANY

CORRIGENDUM TO THE NOTICE OF POSTAL BALLOT DATED 30[th] JULY 2022, SENT TO THE SHAREHOLDERS OF JUPITER WAGONS LIMITED

In due compliance with the provisions of the Companies Act, 2013 read with Rules made thereunder and Regulations as per relevant provisions of the Securities Exchange of Board of India (Listing Obligations and Disclosures Requirement) Regulations, 2015 (hereinafter referred to as the “Applicable Laws”), Jupiter Wagons Limited (formerly Known as Commercial Engineers & Body Builders Co. Limited) (“ the Company ”) circulated / emailed to the members of the Company on 30[th] July 2022 a Postal Ballot Notice Dated 30[th] July 2022 ( “Postal Ballot Notice ”) along with the explanatory statement to all its shareholders for convening the Postal Ballot as mentioned above, seeking approval of shareholders for appointment of Mr. Asim Ranjan Das Gupta, (DIN: 02284092) as a Director and Whole Time Director of the Company. In light of applicable laws and recent amendment, the appointment, re-appointment or removal shall be subject to the approval of shareholders by way of a Special Resolution if the person has attained the age of 70 years or more.

Certain inadvertent typographical / printing errors have been noticed in the Resolution and Explanatory Statement annexed with the Postal Ballot Notice in respect of the Special Resolution (Item. no. 5 of the Postal Ballot Notice) at page number 5, item number 5 of the Postal Ballot Notice, first paragraph, line number 10, “the age of 73 years” is to be read as “the age of 79 years” and in the Annexure to the Explanatory Statementat page number 31 in the table provided for Mr. Asim Ranjan Das Gupta “Date of Birth / Age – 11.12.1948 / 73 years” is to be read as “Date of Birth / Age – 11.12.1942 / 79 years” . All Other contents of the Postal Ballot Notice, save and except as amended/clarified by this Corrigendum, shall remain unchanged.

The Corrigendum shall form an integral part of Postal Ballot Notice dated 30[th] July, 2022 and is issued in continuation of and should be read in conjunction with the original Postal Ballot Notice which was already emailed to the shareholders on 30[th] July 2022 whose email ids were registered with Company/ RTA / Depositories.

This Corrigendum to the Postal Ballot Notice shall be available at Investor section of the Company’s website www.cebbco.com and www.jupiterwagons.com, on the website of Kfin Technologies Limited (KFIN) (formerly known as KFin technologies Private Limited) https://evoting.kfintech.com and on the website of the Stock Exchanges i.e. BSE Limited and National Stock Exchange Limited at www.bseindia.com and www.nseindia.com, respectively.
