Dear Sir / Madam,

In terms of Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("Listing Regulations"), we wish to inform you that based on the recommendation of the Nomination and Remuneration Committee, the Board of Directors have passed a circular resolution on March 25 2021, approving appointment of Mr. Vivek Lohia (DIN: 00574035) as an "Additional Director (Non‐Executive, Non‐Independent Director)" on the Board of Directors of the Company with effect from March 25, 2021, subject to approval of the Shareholders of the Company.

Mr. Vivek Lohia is son of Mr. Murari Lal Lohia, Promoter of the company and will be acting as Non‐Executive, Non‐Independent Director on the Board of CEBBCO. He is also a Director on the Board of Jupiter Wagons Limited, one of the Promoter company holding 4,06,66,835 equity shares in CEBBCO. He is not holding any shares in individual capacity.

Further, this is to confirm that Mr. Vivek Lohia is not debarred from holding the office of Director by virtue of any order of the Securities and Exchange Board of India (SEBI) or any other such authority.

Following the above‐mentioned appointment, the strength of the Board of Directors of the Company has increased to 7 (Seven) Directors, out of which 4 (four) Directors are Independent Directors.
