We wish to bring to your kind attention that the Notice for convening 41[st] Annual General Meeting (“ AGM Notice ”) of the Company, scheduled to be held on Tuesday, September 28, 2021 at 01:00 P.M. through Video Conferencing (‘ VC ’) / Other Audio-Visual Means (‘ OAVM ’), has already been circulated to the Members on September 05, 2021 in compliance with the Companies Act, 2013. Further, a Notice regarding the AGM and Book Closure was also published in Financial Express (English) and Raj Express (Hindi) (“ Newspaper Notice ”).

We enclose herewith a Corrigendum to the Notice of the 41[st] Annual General Meeting of the company in relation to the items proposed in the AGM Notice for your reference and record purposes.

CORRIGENDUM TO THE NOTICE OF 41[st] ANNUAL GENERAL MEETING SCHEDULED TO BE HELD ON 28[th] SEPTEMBER, 2021 (AGM) AT 01.00 P.M. THROUGH VIDEO CONFERENCING / OTHER AUDIO VISUAL MEANS

In due compliance with the provisions of the Companies Act, 2013 read with Rules made thereunder Commercial Engineers & Body Builders Co. Limited (“ the Company ”) circulated a Notice Dated 01[st] September 2021 (“ AGM Notice ”) to all its shareholders for convening the AGM as mentioned above.

Certain inadvertent typographical / printing errors have been noticed in the Resolution and Explanatory Statement annexed with the AGM Notice in respect of the ordinary resolution (Item. no. 5 of the AGM Notice) for ratification of the remuneration to be paid to the cost auditor, “ the financial year ending March 31, 2021” is to be read as “financial year ending March 31, 2022” and in the Explanatory Statement “for the financial year 2020-2021” is to be read as “for the financial year 2021-2022” . Other contents of the AGM Notice remain unchanged.

Same as above on page number 40 of the Annual Report for the F.Y. 2020-21 of the company, in the Cost Records and Cost Audit section in the second paragraph fifth line “ for the F.Y. 2020-21” is to be read as “for the F.Y. 2021-22” . Other contents of the Annual Report remain unchanged.

The Corrigendum shall form an integral part of AGM Notice and is issued in continuation of and should be read in conjunction with the original AGM Notice which was already emailed to the shareholders on 05[th] September 2021 whose email ids were registered with company/ RTA / Depositories.

This Corrigendum to the AGM Notice shall be available at Investor section of the Company’s website www.cebbco.com, on the website of Kfin Technologies Private Limited (KFIN) https://evoting.kfintech.com and on the website of the Stock Exchanges i.e. BSE Limited and National Stock Exchange Limited at www.bseindia.com and www.nseindia.com, respectively.
