CHANGE OF COMPANY SECRETARY, QUALIFIED ACCOUNTANT AND AUTHORISED REPRESENTATIVE

The board (the “Board”) of directors (the “Directors”) of MegaInfo Holdings Limited (the “Company”) announces that Mr. Wong Chit Lung Philip (“Mr. Wong”) will resign (i) as the company secretary and authorised representative of the Company with effect from 23 October 2006; and (ii) as qualified accountant of the Company with effect from 19 November 2006, to pursue other career development. The Board and Mr. Wong confirm that Mr. Wong has no disagreement with the Board and that there are no other matters in relation to Mr. Wong’s resignation that need to be brought to the attention of The Stock Exchange of Hong Kong Limited (the “Stock Exchange”) or the shareholders of the Company.

Ms. Mak Tak Ping (“Ms. Mak”) will be appointed as the company secretary and authorised representative of the Company in place of Mr. Wong with effect from 23 October 2006. Ms. Mak is an associate member of The Institute of Chartered Secretaries and Administrators and The Hong Kong Institute of Company Secretaries. Prior to joining the Company, Ms. Mak was the company secretary of various companies, the issued shares of which are listed on the Growth Enterprise Market (the “GEM”) and the Main Board of the Stock Exchange.

Ms. Lo Kei Chi (“Ms. Lo”) will be appointed as the qualified accountant of the Company in place of Mr. Wong with effect from 19 November 2006. Ms. Lo holds a bachelor degree in Arts from the University of Hong Kong. Ms. Lo is an associate member of the Hong Kong Institute of Certified Public Accountants and a CPA member of CPA Australia and has over 12 years of experience in accounting. Prior to joining the Company, Ms. Lo had worked as Finance Manager for a multinational company.

The Board would like to take this opportunity to thank Mr. Wong for his contribution to the Company in the past.

As at the date of this announcement, the Board comprises Mr. Sun Ho and Mr. Kot Wai Ming as executive Directors; Mr. Wang Ronghua, Mr. Hua Fengmao and Mr. Kwok Wing Leung Andy as independent non-executive Directors.
