Item 8.01 Other Events.

The company announced today that its subsidiary, Johnson & Johnson Consumer Inc., has successfully completed the previously disclosed acquisition of Vogue International LLC, a privately-held company focused on the marketing, development and distribution of salon-influenced and nature inspired hair care and other personal care products, for $3.3 billion in cash. A Current Report on Form 8-K announcing the definitive agreement to acquire Vogue International LLC was filed on June 3, 2016.

The related press release dated July 18, 2016 is attached as Exhibit 99.1 to this Report.
