Item 5.02. Departure of Directors of Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements for Certain Officers.

On November 30, 2012, the Company announced that its Board of Directors elected Alex Gorsky Chairman, Board of Directors of Johnson & Johnson effective December 28, 2012. Mr. Gorsky was appointed Chief Executive Officer of the Company in April 2012. Current Chairman William C. Weldon will step down from the Board on December 28, 2012 and will not stand for reelection in 2013. The Company's related press release is attached to this Report as Exhibit 99.1.
