Item 8.01 Other Events.

On July 15, 2011, the Company's subsidiary, J anssen Pharmaceuticals, Inc., announced a definitive agreement to divest the assets of its Ortho Dermatologics division in the U.S. to subsidiaries of Valeant Pharmaceuticals International, Inc. for approximately $345 million in cash. The related press release dated July 15, 2011 is attached as Exhibit 99.1 to this Report.
