Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 24, 2008, the Board of Directors of Johnson & Johnson (the “Company”) accepted the resignation of Mr. Steven S Reinemund as a Director of the Company, effective immediately. On April 22, 2008, Wake Forest University announced Mr. Reinemund as the new dean of the Calloway School of Business and Accountancy and the Babcock Graduate School of Management and Professor of Leadership and Strategy, effective July 1, 2008. Mr. Reinemund was elected to the Board of Directors of the Company in 2003.
