Sub: Outcome of Board Meeting held on March 27, 2026

Pursuant to the provisions of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended (“Listing Regulations”), we wish to inform you that the Board of Directors of J. K. Cement Limited ( the Company ), at its meeting held today, March 27, 2026, has inter alia considered and approved entering into an Asset Purchase Agreement to acquire 0.24 MnTPA cement grinding assets of Sri Chakra Cement Limited and land of 34 acres owned by multiple landowners viz. Envean Enterprises Private Limited, Sri Chakra Cement Limited & K Sanjay Kumar situated in Vizianagaram, Andhra Pradesh for an aggregate consideration of Rs. 28.79 crores.

The aforesaid Cement grinding assets have been non-operational since April, 2025.

The proposed transaction is subject to finalisation and execution of definitive agreements and completion of customary conditions precedents.

The above is also being made available on the website of the Company at www.jkcement.com.

The meeting commenced at 11:25 a.m. (IST) and concluded at 12:13 p.m. (IST).
