APPENDIX 3B ISSUE OF UNLISTED OPTIONS

Pursuant to the Company’s Employee Share Option Plan (ESOP), the Board of Jindalee Resources Limited (ASX: JRL ) ( Company ) has resolved to issue 400,000 unlisted options to employees of the Company. An Appendix 3B outlining the ESOP issue is attached.

The Board has also resolved (subject to Shareholder approval being obtained at the next annual general meeting of the Company) to issue unlisted options to Directors.

In accordance with ASX Listing Rule 3.10.3, the Company provides the following details of the proposed issue of Director options:

Principal Terms: The options will have an exercise price of equal to the
higher of:

$0.40; or
(ii) 150% of the prevailing market price of the Shares on

The options will have an expirydate of 30 June 2022.
Purpose of the issue: As an incentive and as consideration for ongoing services to
the Company
Shareholder approval: The Company will seek Shareholder approval for the issue of
the Director options at the next general meeting of the
Company
Issue to class: The issue is not beingmade to a class of securityholders
