Dear Sir,

This is with reference to the Hon’ble National Company Law Tribunal, Allahabad Bench (NCLT) Order dated 21[st] March, 2024 approving the scheme of amalgamation of Jindal Quality Tubular Limited (JQTL), Jindal Tubular (India) Limited (JTIL) and Jindal Fittings Limited (JFL) with the Company. The Restructuring Committee of the Company, in its meeting held today, fixed the 23[rd] July, 2024 as record date to determine the shareholders of JQTL, JTIL and JFL, who shall be eligible for allotment of 8% noncumulative, non-convertible, unlisted, redeemable preference shares of Rs. 100/- each in the swap ratio as approved by NCLT.
