Subject: Outcome of Board Meeting in accordance with SEBI (Listing Obligation and Disclosure Requirements) Regulation 2015 (“Listing Regulation”) and SEBI Circular No. CIR/CFD/CMD/4/2015 dated September 09, 2015.

Dear Sir/Madam,

We would like to inform you that, the Board Meeting of the Company was held on Tuesday, June 25, 2021 through video conferencing. In pursuant to Regulation 30 read with Schedule III of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, and SEBI Circular No. CIR/CFD/CMD/4/2015 dated September 09, 2015, the Board has considered and approved the following matters:

1. Mr. Suresh Bharwani, (DIN: 00667104) had tendered his resignation as Managing Director from the Board of Directors vide his letter dated 01[st] June, 2021 which was effective from 11[th] June, 2021. The Company had submitted the intimation about the same to BSE Limited on 01[st] June, 2021. Thereafter, at the meeting of the Board held on June 8, 2021, the Board had noted the receipt of resignation letters from Mr. Suresh Bharwani and after detailed discussion, it had been concluded that he shall be relieved from his duty from the conclusion of next ensuing Board meeting of the Company. This information had been submitted to the BSE Limited on 08[th] June, 2021. At the Board meeting held on 25[th] June, 2021 being the next meeting of the Board, it was mutually agreed that, Mr. Suresh Bharwani, Managing Director be relieved from his duties/responsibilities with from 30[th] June, 2021. Further, the information as required under SEBI Circular No. CIR/CFD/CMD/4/2015 dated September 09, 2015, as an ‘Annexure-I’ has been submitted to the BSE on 08[th] June, 2021

2. Mr. Nandu Bharwani, (DIN: 00618386) has tendered his resignation as Joint Managing Director from the Board of Directors and CFO vide his letter dated 01[st] June, 2021 which was effective from 11[th] June, 2021. The Company had submitted the intimation about the same to BSE Limited on 01[st] June, 2021. Thereafter, at

Appointment of Mr. Siddarth Bharwani (DIN 02020370) as Additional Director and designate him as Whole Time Director of the Company for the period of Three years with effect from 01[st] July, 2021 to 30[th] June, 2024 and Chief Financial Officer with effect from 01[st] July, 2021. Further, as per the requirement of BSE Circular dated June 20, 2018, this is hereby confirmed that, Mr. Siddarth Bharwani is not debarred from holding the office of Director by virtue of any SEBI order or any other such authority order. Disclosure pursuant to SEBI Circular No. CIR/CFD/ CMD/4/2015 dated September 09, 2015, as a ‘Annexure-I’.

2. Appointment of Mr. Suresh Bharwani as a Chairman and Non-Executive Director of the Company for the period of Three years with effect from 1[st] July, 2021 to 30[th] June, 2024 subject to the approval of members in the ensuing 37[th] Annual General Meeting. Further, as per the requirement of BSE Circular dated June 20, 2018, this is hereby confirmed that, Mr. Suresh Bharwani is not debarred from holding the office of Director by virtue of any SEBI order or any other such authority order. Disclosure pursuant to SEBI circular no. CIR/CFD/CMD/4/2015 dated September 09, 2015 is enclosed herewith as ‘Annexure – II’.

3. Appointment of Mr. Nandu Bharwani as a Vice Chairman and Non-Executive Director of the Company for the period of Three years with effect from 1[st] July, 2021 to 30[th] June, 2024 subject to the approval of members in the ensuing 37th Annual General Meeting. Further, as per the requirement of BSE Circular dated June 20, 2018, this is hereby confirmed that, Mr. Nandu Bharwani is not debarred from holding the office of Director by virtue of any SEBI order or any other such authority order. Further, Disclosure pursuant to SEBI circular no. CIR/CFD/CMD/4/2015 dated September 09, 2015 is enclosed herewith as ‘Annexure – III’

4. In terms of Regulation 30 (5) of SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 Mr. Harsh Bharwani, Whole time Director and Mr. Siddarth Bharwani, Whole time Director of the Company have been authorized at the Board meeting for the purposed of determining materiality of an event or information and making disclosure of the event to the stock exchange.
