Item 8.01 Other Events.

On August 12, 2024, JetBlue Airways Corporation (the “Company”) issued a press release announcing the pricing of $400 milli on aggregate principal amount of its 2.50% convertible senior notes due 2029 (the “Convertible Notes”), pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”). The Company also granted the initial purchasers an option to purchase up to an additional $60 million aggregate principal amount of Convertible Notes.

A copy of the press release is filed herewith as Exhibit 99.1 and is incorporated herein by reference.
