Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(d) On January 15, 2021, the Board of Directors of JetBlue Airways Corporation (the "Company") increased the number of members of the Board of Directors to eleven and appointed Monte Ford to fill the newly created vacancy.

Mr. Ford is currently the Principal Partner at the CIO Strategy Exchange, an organization of the top 50 sitting Chief Information Officers in business. Mr. Ford currently sits on the board of directors of Akamai Technologies, Inc., Iron Mountain Incorporated and The Michaels Companies.

Our Board of Directors has appointed Mr. Ford to serve as an independent member of the Audit Committee. There are no arrangements or understandings between Mr. Ford and any other persons pursuant to which Mr. Ford was selected as a director and there are no transactions in which Mr. Ford has an interest requiring disclosure under Item 404(a) of Regulation S-K. Mr. Ford will be compensated in accordance with the Company's publicly disclosed director compensation policies.
