Item 1.02 Termination of a Material Definitive Agreement

On June 17, 2021, JetBlue Airways Corporation (the “Company”) voluntarily repaid a portion of its outstanding borrowings under its $750 million Term Loan Credit Agreement, dated as of June 17, 2020, among the Company, as borrower, the lenders party thereto, Barclays Bank PLC, as administrative agent, and certain other parties thereto (the “Term Loan Agreement” and, together with all security documents and all other loan documents related thereto, the “Term Loan Documents”). On June 30, 2021, the Company repaid the full amount of outstanding borrowings under the Term Loan Agreement, which, together with its repayment of June 17, 2021, totaled approximately $722 million, plus accrued interest and associated fees. As of June 30, 2021, the Term Loan Documents and all obligations thereunder were terminated in full. The material terms and conditions of the Term Loan Agreement were described in the Company’s Current Report on Form 8-K filed on June 17, 2020.
