Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On February 18, 2020, JetBlue Airways Corporation (the " Company ") announced that Mr. Stephan Gemkow advised the Board of Directors of the Company (the " Board ") that he would not seek re-election to the Board at the Company’s 2020 Annual Meeting of Stockholders scheduled for May 2020. On March 5, 2020, Airbus SE announced that it has proposed to appoint Mr. Gemkow to its board of directors at its annual general meeting to be held on April 16, 2020. Pursuant to the Company’s Corporate Governance Guidelines, a director is required to submit his or her letter of resignation when the director agrees to serve on the board of directors of another public company. On March 5, 2020, Mr. Stephan Gemkow submitted a letter of resignation to the Board.
