Pursuant to requirement of Regulation 30 read with Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, kindly note that the Board of Directors of the Company at its meeting held today Wednesday, August 13, 2025 at 4.00 p.m. (IST) has inter alia considered and approved the following items:

the Un-audited Financial Results (Standalone) along with Limited Review Report for the quarter ended June 30, 2025.

Upon the recommendation of the Nomination and Remuneration Committee, Board has approved, the appointment of Mrs. Tasnim A. Sabuwala (DIN: 03557575) as an ‘Additional Director’ in the category of ‘Non-Executive – Independent Women Director’ of the company for term of Five years. We hereby confirm that she is not debarred from holding the office of director by virtue of any order of SEBI or any such authority.

Appointment of M/s B.R. Gharpure & Associates., Practicing Company Secretary, as Secretarial Auditor of the company for a term of five consecutive years commencing from F.Y. 2025-26 to 2029-30, subject to approval of Shareholders at the ensuing AGM.

Appointment of M/s J. S. Bhatia & Co., Chartered Accountants, as Internal Auditor for the financial year 2025-26 as per section 138 of Companies Act, 2013.
