*Entry into a Loan Facility*

Recently in December, JD.com, Inc. entered into a five-year US$1 billion term and revolving credit facilities agreement under a bullet repayment structure with a group of 24 arrangers. The facility is priced at 115 basis points over LIBOR. The use of proceeds of the facility is for general corporate purposes.
