GRANT OF ASX WAIVER

JCurve Solutions Ltd (ASX: JCS) wishes to advise that it has been granted a waiver from listing rule 14.7 to the extent necessary to permit the Company to issue the following securities to Mr Graham Baillie (as approved by shareholders at the annual general meeting held on 31 October 2013), later than 1 month after the date of the meeting:

1. 71,428,571 shares in the Company; and

2. 35,714,284 Options

3. (together, the “Vendor Securities”).

The waiver is conditional on the Vendor Securities being issued no later than 24 December 2013 and otherwise on the same terms and conditions approved by shareholders on 31 October 2013, and the terms of this waiver being immediately released to the market.
