Directors' Interests & Transaction in Own Shares

On 6 September 2016 the Company was informed that, on that day, Mr Nick Crabb, a director of the Company, acquired 2,500 Ordinary Shares at a price of 314p per share.

Following the transaction, Mr Crabb now has an interest in 10,000 shares, representing 0.09% of the Company's issued share capital.

In addition, the Company announces that, on 6 September 2016, it acquired 7,500 Ordinary Shares at a price of 314 pence per share to hold in Treasury.

The Company now has in issue 11,150,250 Ordinary Shares, of which 170,300 are held in Treasury. Therefore the total number of Ordinary Shares with voting rights is 10,994,950, and is the figure which may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.

The Company will continue to purchase its own shares for Treasury when appropriate, and in accordance with the authority granted by its Members.
