Takeover bid by Charterhouse Pte. Ltd. for Hamilton James & Bruce Group Limited (ASX: $\,$ HJB) declared unconditional

We confirm that the takeover bid by Charterhouse Pte. Ltd. (Charterhouse) for Hamilton James & Bruce Group Limited (HJB) has been DECLARED UNCONDITIONAL by the directors of Charterhouse. A copy of the notice sent to HJB is attached.

This means that upon HJB shareholders accepting the Charterhouse offer, they will be sent their cash consideration within 5 business days of the later of:

• receipt of their valid acceptance by Charterhouse; and ∍{a)
• the date of this letter. «Ы

We confirm that Charterhouse's current voting power in HJB is 59.19%.

The directors of HJB in the Target Statement, dated 24 August 2009, have unanimously recommended that shareholders accept Charterhouse's takeover offer.

The Charterhouse offer is scheduled to close on 21 September 2009.
