Notice under ASX Listing Rule 3.3

We act for Charterhouse Pte. Ltd. (Charterhouse). Charterhouse gives notice that the takeover offer, dated 18 August 2009, for all of the shares in Hamilton James & Bruce Group Limited ACN 091 302 975 (ASX: HJB) (HJB) closed at 5:00 pm on 21 September 2009.

In accordance with ASX Listing Rule 3.3, Charterhouse gives notice that:

• based on information available to Charterhouse as at the time of filing this notice, 1. Charterhouse and its associates have a relevant interest in 73.72% of the issued HJB shares at the close of the Offer; and
• compulsory acquisition of the remaining HJB shares that Charterhouse does not hold 2. will not proceed.
