Janison Share Purchase Plan
Janison Education Group Limited (ASX:JAN) (“ Janison ” or the “ Company ”), is pleased to launch the Share Purchase Plan (SPP) announced by Janison on Thursday, 24 June 2021 which opens today.
Eligible Janison shareholders in Australia, New Zealand and Spain now have the opportunity to apply for up to A$30,000 each of new fully paid ordinary shares in Janison (SPP Shares), free of any brokerage or other transaction costs.
The SPP follows the $15 million placement (Placement) completed by Janison at A$0.82 per share (Placement Price). The issue price of SPP Shares is the same as the Placement Price. The SPP aims to raise up to A$2 million and is not underwritten. Should any scale back be necessary, any scale back arrangements will be applied on a pro rata basis, either based on the size of the eligible shareholder’s existing holding of shares or based on the number of SPP Shares that the eligible shareholder has applied for.
Shareholders are eligible to participate in the SPP if they had a registered address in Australia, New Zealand or Spain on Janison’s register at 7.00pm (Sydney time) on Wednesday, 23 June 2021, and are not in the United States and not acting for the account or benefit of a person in the United States (Eligible Holders).
Participation in the SPP is voluntary. SPP Shares will rank equally with existing Janison shares from their date of issue.
The SPP is subject to the terms and conditions set out in the SPP booklet, which is being sent to Eligible Holders today. Eligible Holders are encouraged to read the SPP booklet carefully, and if in any doubt about whether or not to accept the SPP offer, consult with a financial or other professional adviser. The Board recommends that you obtain your own financial advice in relation to the SPP and consider price movements of shares in Janison prior to electing to participate in the SPP.
