Purchase of Ascender Learning Business Assets

The Board of Janison Education Group Limited (ASX:JAN) is pleased to announce that it has entered into an agreement with Ascender Learn Pty Ltd (“ Ascender ”), via its wholly-owned subsidiary, Janison Solutions Pty Ltd (“ Janison Solutions ”), to acquire certain assets, people and intellectual property of its leading learning solutions business.

Ascender develops cutting edge, bespoke e-learning content for Australia’s leading companies which includes many Top ASX 100 companies. Janison is planning to bring new learning content solutions to its current client base whilst also seeking to bundle its leading learning technology platform with Ascender’s proprietary content to provide a unique bundled offering in the market.

Janison’s CEO, Tom Richardson, said “we are very excited to be bringing in up to 12 very talented corporate learning professionals, approximately 20 new large clients and market leading learning proprietary content into our business. This acquisition will provide our learning business with additional business development skills in Sydney, Melbourne and Adelaide to add to our existing resources NSW and Qld.”

Tom further commented “through the bundling of our leading learning technology platform together with Ascender’s bespoke proprietary content we can license an integrated learning solution to our clients which is unique in the market.”

This transaction forms part of Janison’s strategy to provide a complete integrated learning solution for Australia’s leading companies. With this award winning capability to develop cutting edge e- learning Janison can now build content which complements its extensive catalogue of “off the shelf” content.

The acquisition is expected to complete on or around 20 April 2018, after which, the Company will have the benefit of some of Ascender’s customer contracts, goodwill and equipment. Janison Solutions will also offer new employment agreements to 12 Ascender staff.

This is not expected to have a material impact on the Company’s cash flow or to have a material effect on the price or value of the Company’s shares. Consideration for the acquisition will be paid from the Company’s cash reserves.
