Item 8.01. Other Events.

As previously reported, by letters dated December 26, 2019 and May 15, 2020 from The Nasdaq Stock Market LLC (“Nasdaq”), we were informed that we failed to meet the minimum bid price continued listing standard and the stockholders equity continued listing standard, respectively. By letter dated July 31, 2020 we were informed by a Hearings Panel of Nasdaq (the “Panel”) that we were fully compliant with all Nasdaq continued listing standards and, accordingly, the Panel determined to continue the listing of the Company’s securities on The Nasdaq Stock Market and is closing this matter.
