Members are hereby informed that, pursuant to the provisions of Sections 108 and 110 of the Companies Act, 2013 (“Act” ), read with Rules 20 and 22 of the Companies (Management and Administration) Rules, 2014 (“Rules”), as amended from time to time, and in accordance with General Circular No. 3/2025 dated September 22, 2025 issued by the Ministry of Corporate Affairs (“MCA”), read with earlier circulars issued in this regard (“MCA Circulars”), Secretarial Standard–2 on General Meetings (“SS-2”) issued by the Institute of Company Secretaries of India, Regulation 44 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”) and other applicable laws, the Company has sent the Postal Ballot Notice by e- mail on March 25, 2026.
In terms of relevant provisions of the Act and in accordance with MCA Circulars, the Postal Ballot Notice along with the instructions regarding remote e-voting has been sent only through email to all those Members, whose email address is registered with the Company/ Depositories/ Depository Participants/ Registrar and Share Transfer Agent (RTA) of the Company and whose name is recorded in the register of members or in the register of beneficial owners maintained by the Depositories as on the cut-off date i.e. March 20, 2026. A person who is not a member on the cut-off date shall accordingly treat the Postal Ballot Notice for information purposes only. The Notice is accompanied by an Explanatory Statement pursuant to Section 102 of the Act, seeking Members' approval by way of Special Resolution for the following item: Sr. No. Agenda of the Notice Type of Resolution 1. Approval for buy-back of up to 16,00,000 fully paid-up equity Special shares of face value ₹2/- each at a price of ₹250/- per share, for an aggregate amount not exceeding ₹40 crores. In compliance with the requirements of the MCA Circulars, physical copy of Postal Ballot Notice along with Postal Ballot Forms and pre-paid business envelope will not be sent to the shareholders for this Postal Ballot and shareholders are required to communicate their assent or dissent through the remote e-voting system only. Electronic copies of the Postal Ballot Notice have been sent to all the members on March 25, 2026, whose email Ids are registered with the Company/ RTA/ Depository Participants. The copy of the Postal Ballot Notice is available on the Company's website at www.jagsonpal.com, websites of the Stock Exchanges i.e. BSE Limited (“BSE”) and National Stock Exchange of India Limited (“NSE”) at www.bseindia.com and www.nseindia.com, and on the website of NSDL at www.evoting.nsdl.com. Members who do not receive the Postal Ballot Notice may download it from the above-mentioned websites. The facility of casting the votes by the members (e-voting) will be provided by National Securities Depository Limited (NSDL) and the detailed procedure for the same has been provided in the Postal Ballot Notice. The e-voting period is as follows: Commencement of e-voting period Thursday, March 26, 2026 at 9.00 A.M. (IST). Conclusion of e-voting period Friday, April 24, 2026 at 5.00 P.M. (IST)
The e-voting module shall be disabled by NSDL for voting thereafter. Remote e-voting shall not be allowed beyond the said time and date. During this period, members of the Company, holding shares either in physical form or in dematerialized form, as on the cut-off date of 20 March, 2026, may cast their vote by remote e-voting on the resolution as set out in the Postal Ballot Notice The Board of Directors has appointed Mr. Ayush Khandelwal (ACS A41316, COP 19171), Proprietor of Ayush Khandelwal & Associates, Practicing Company Secretaries, as the scrutinizer (“Scrutinizer”) to scrutinize the remote e-Voting process and to ensure that votes are cast through the remote e-Voting module in a fair and transparent manner.
