Item 8.01 Other Events.

On September 15, 2021, the Company entered into a trade with respect to the sale of its remaining shares of Worley Limited [ASX: WOR] (“Worley”) for net proceeds of approximately $369.3 million USD, after taking into account foreign currency exchanges. The Company originally received the Worley shares as part of the purchase price for the sale of its Energy, Chemicals and Resources (ECR) business to Worley in April 2019. The Company expects to complete the sale, subject to customary closing conditions, on September 20, 2021.
