İzmir Fırça Sanayi ve Ticaret A.S. Tasarruf Sahiplerine Satis Duvurusu

Ortaklığımızın çıkarılmış sermayesinin 59.062.500 TL nakit karşılığı, 59.062.500 TL iç kaynaklardan karşılanmak suretiyle 59.062.500 TL'den 177.187.500 TL'ye çıkarılması nedeniyle yeni pay alma haklarının kullanılmasından sonra kalan toplam ...2.1.20.4.743,759.... TL nominal değerli paylarının halka arzına ilişkin duyurudur.

Ancak izahnamenin ve işbu duyurunun onaylanması söz konusu belgelerde ver alan bilgilerin doğru olduğunun Kurulca tekeffülü anlamına gelmeyeceği gibi, sermaye piyasası araçlarına ilişkin bir tavsiye olarak da kabul edilemez. Ayrıca halka arz edilecek payların fiyatının belirlenmesinde Kurul'un herhangi bir takdir ya da onay yetkisi yoktur.

Ortaklığımızın çıkarılmış/ödenmiş sermayesinin 59.062.500 TL nakit karşılığı, 59.062.500 TL iç kaynaklardan karşılanmak suretiyle 59.062.500 TL'den 177.187.500 TL'ye çıkarılması nedeniyle artırılacak 118.125.000 TL nominal değerli paylarının halka arzı için hazırlanan izahname, Kurulca 25./.11../2025 tarihinde onaylanmıs olup. ortaklığımız ve halka arz edilecek paylar ile ilgili ayrıntılı bilgileri içeren izahname ortaklığımızın ve halka arzda satışa aracılık edecek Tacirler Yatırım Menkul Değerler A.Ş.'nin www.izmirfirca.com.tr ve www.tacirler.com.tr adresli internet siteleri ile Kamuyu Aydınlatma Platformu (KAP)'nda www.kap.gov.tr 5.../12./2025 tarihinde yayımlanmıştır. Ayrıca başvuru yerlerinde incelemeye açık tutulmaktadır. Halka arz edilecek paylara ilişkin yatırım kararları, izahnamenin bir değerlendirilmesi sonucu verilmelidir.

1. PAYLARIN HALKA ARZINA İLİSKİN BİLGİ

a) Halka Arz Süresi:

Halka arz edilecek olan 2.207.743,759 TL nominal değerli paylar 2.5.12.207.5 ile .26.12.2075 tarihleri arasında 2 (iki) iş günü süreyle satışa sunulacaktır.

Bir payın nominal değeri 1 TL olup, 1 TL'den aşağı olmamak üzere BİST'te oluşacak fiyattan satışa sunulacaktır.

b) Başvuru Şekli: İzahnamenin 24.1.3.2 nolu maddesinin a bendinde başvurunun ne şekilde olacağı açıklanmıştır.

c) Başvuru Yerleri: İzahnamenin 24.1.3.2 nolu maddesinin c bendinde b yerleri hakkında bilgi verilmektedir.

d) Payların Teslim Şekli: İzahnamenin 24.1.3.2. nolu maddesinin d açıklanmıştır.

Bu tasarruf sahiplerine satış duyurusunda yer alan bilgilerin, sahip olduğumuz tüm bilgiler çerçevesinde, gerçeğe uygun olduğunu ve tasarruf sahiplerine satış duyurusunda bu bilgilerin anlamını değiştirecek nitelikte bir eksiklik bulunmaması için her türlü makul özenin gösterilmiş olduğunu beyan ederiz.
