Section 708A Notice – Issue of IVE Group Limited securities without a prospectus

This notice is given by IVE Group Limited ABN 62 606 252 644 (ASX code: IGL) ( IVE ) under section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Act ).

On 5 December 2016, IVE announced it intended to issue scrip to the Vendors of Franklin and AIW in consideration for the acquisition of the assets of Franklin and 100% of the shares in AIW ( Scrip ).

IVE gives notice that:

• 1 IVE has today issued 264,253 ordinary shares in IVE to the Vendors of AIW without disclosure to investors under Part 6D.2 of the Act;

• 2 this notice is given under section 708A(5)(e) of the Act;

• 3 as at the date of this notice, IVE has complied with the provisions of Chapter 2M and section 674 of the Act as they apply to IVE; and

• 4 as at the date of this notice, there is no information that is ‘excluded information’ within the meaning of section 708A(7) of the Act.
