In accordance with DTR 3.1.2 ITV announces that awards made in March 2014 under the ITV Deferred Share Award Plan (the "DSA") and ITV Performance Share Plan (the "PSP") to PDMRs of the Company were released or exercised on 28 March 2017 as follows.

Share Awards

a.     DSA

On 28 March 2017 certain PDMRs were granted awards over ordinary shares of the Company under the DSA.  The awards were based on the achievement of performance targets under annual bonus arrangements in respect of the period from 1 January 2016 to 31 December 2016.

PDMRs received awards as restricted shares as set out below.  Under the rules of the DSA the shares will not release until 28 March 2020.

b.     PSP

On 28 March 2017 PDMRs were granted awards under the PSP in the form of nil-cost options over ordinary shares of the Company. The number of options that will become exercisable is subject to the achievement of stretching strategic performance conditions over the three-year period to 31 December 2019 and will become exercisable on 28 March 2020. Any portion of the award that does not meet the performance conditions will lapse.
