Share Awards

ITV Deferred Share Award Plan (the "DSA")

On 29 March 2016 certain directors and executives were granted awards over ordinary shares of the Company under the DSA.  The awards were based on the achievement of performance targets under Annual Bonus arrangements in respect of the period from 1 January 2015 to 31 December 2015.

Directors and PDMRs of the Company received awards as restricted shares as set out below.  Under the rules of the DSA the shares will not release until 29 March 2019.

ITV Long-Term Incentive Plan (the "LTIP")

On 29 March 2016 certain directors and executives were granted awards under the LTIP in the form of nil-cost options over ordinary shares of the Company. The number of options that will become exercisable is subject to the achievement of a financial performance gateway and stretching strategic performance conditions on the third anniversary of the date of grant, 29 March 2019. Any portion of the award that does not meet the performance conditions will lapse.  Any portion of the award that meets the performance conditions will then be subject to holding periods.
