Ithaca Energy plc (ITH) makes the following announcement in respect of certain disclosable transactions carried out by certain of its directors and persons discharging managerial responsibilities ("PDMRs") on 1 September 2025.

Grant of performance share awards to PDMRs

On 1 September 2025, the Company granted a performance share award ("Performance Share Award") under the Ithaca Energy Long Term Incentive Plan to the PDMRs listed below:

The Performance Share Award is granted in the form of a nil-cost option, which will vest and become exercisable on 1 September 2028 (or, if later, the date on which the Remuneration Committee determines that the applicable performance conditions (described below) are met).

The Performance Share Awards are subject to a performance condition measuring the Company's total shareholder return over a period of three financial years (commencing with the current financial year) relative to the total shareholder return of a comparator group of companies in the Energy sector.

This announcement is made in accordance with Article 19 of the EU Market Abuse Regulation 596/2014 as it forms part of domestic law by virtue of the European Union (Withdrawal) Act 2018.
