Allotment of equity shares by ITC Hotels Limited

Further to our letter dated 18[th] December, 2024, we write to advise that ITC Hotels Limited (ITCHL) has informed us the following:

• (i) the Board of Directors of ITCHL at the meeting held today i.e., 11[th] January, 2025, has allotted 125,11,71,040 equity shares of ` 1/- each to the shareholders of the Company as on the Record Date i.e., 6[th] January, 2025, pursuant to the Scheme of Arrangement amongst ITC Limited and ITCHL and their respective shareholders and creditors under Sections 230 to 232 read with the other applicable provisions of the Companies Act, 2013. Consequent to the above, ITCHL has ceased to be a subsidiary of the Company effective 11[th] January, 2025.

• (ii) Necessary application(s) will be made by ITCHL for the purpose of listing of its equity shares; such shares will remain frozen till the time listing / trading permission is granted by the Stock Exchanges.
